1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you and Progressum Integrated Ltd. ("we", "us", "our"), the company that operates WayCharts at waycharts.net ("the Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and "you" refers to that organisation.

2. Description of the Service

WayCharts is a web-based task planning and execution platform that helps service operators, consultants, and teams plan, document, execute, and improve repeatable work processes.

The Service is currently in a beta period. During this time, features may change, and service availability may not be guaranteed to the same standard as a full production release. We will give reasonable notice of any significant changes.

3. Account Registration

To use the Service, you must register for an account. You agree to:

• Provide accurate and complete information when registering
• Keep your account credentials confidential
• Notify us promptly at hello@waycharts.net if you become aware of any unauthorised access to your account
• Be responsible for all activity that occurs under your account

You must be at least 18 years old and operating in a business or professional capacity to register. The Service is not intended for personal or consumer use.

4. Subscriptions and Payment

4.1 Subscription Plans

Access to certain features of the Service requires a paid subscription. Details of available plans, pricing, and included features are set out on the pricing page. We reserve the right to change pricing with reasonable notice to existing subscribers.

4.2 Billing

Subscription fees are billed in advance on the billing cycle selected at signup (monthly or quarterly). Payment is due at the start of each billing period. Failure to pay may result in suspension or termination of your account.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.

4.4 Refunds

We do not offer refunds for partial billing periods. If you believe a charge has been made in error, contact us at hello@waycharts.net within 14 days of the charge and we will investigate.

4.5 Taxes

Prices shown are exclusive of any applicable taxes. You are responsible for any taxes, duties, or levies imposed by your local jurisdiction on the purchase of the Service.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

• Use the Service to store, transmit, or distribute content that is illegal, harmful, defamatory, or infringes the rights of any third party
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
• Use automated tools to scrape, crawl, or extract data from the Service without our prior written permission
• Resell or sublicense access to the Service without our prior written permission
• Use the Service in any way that could damage, disable, overburden, or impair its operation

We reserve the right to suspend or terminate accounts that violate these conditions without prior notice.

6. Your Data

6.1 Ownership

You retain ownership of all data, content, and information you create or upload to the Service ("Your Data"). We do not claim any ownership over Your Data.

6.2 Licence to Operate the Service

By using the Service, you grant us a limited, non-exclusive licence to store, process, and display Your Data solely for the purpose of providing the Service to you. We do not use Your Data for any other purpose.

6.3 Data Export and Deletion

You may request an export of Your Data at any time by contacting us. If you cancel your account, you may request deletion of Your Data. We will process deletion requests within 30 days. After deletion, Your Data cannot be recovered.

6.4 Privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.

7. Intellectual Property

The Service, including its software, design, methodology, and all content created by us, is owned by Progressum Integrated Ltd. and is protected by applicable intellectual property laws.

Nothing in these Terms transfers any ownership of our intellectual property to you. Your right to use the Service is limited to the licence granted under your active subscription.

8. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by applicable law, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free from loss of data. During the current beta period, planned and unplanned downtime may occur.

The Service is a productivity and operations tool. We do not warrant any particular business outcome from its use.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Progressum Integrated Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business, arising out of or related to your use of the Service.

Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total fees you paid to us in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Termination

10.1 By You

You may stop using the Service and cancel your account at any time.

10.2 By Us

We may suspend or terminate your access to the Service at any time if:

• You breach these Terms and fail to remedy the breach within 7 days of notice
• You engage in conduct that poses a security risk or legal liability to us or other users
• We decide to discontinue the Service, with reasonable notice given

10.3 Effect of Termination

On termination, your right to access the Service ends immediately. Sections 6, 7, 8, 9, 11, and 12 of these Terms survive termination.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Jamaica. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Jamaica.

If you are located outside Jamaica, you acknowledge that your use of the Service is subject to these Terms and that Jamaican law governs our relationship. Where applicable local consumer protection or data protection law in your jurisdiction cannot be excluded by contract, that law continues to apply to the extent required.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. For material changes, we will notify registered users by email at least 14 days before the change takes effect.

Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should cancel your account before the effective date of the change.

13. General

Entire agreement. These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Progressum Integrated Ltd. regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.

No waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations, including in connection with a merger, acquisition, or sale of assets.
